Thank you for using CoGrid. These Terms of Use ("Terms") govern your use of our website and free tools. By using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
Definitions
"Company", "we", "our", or "us" refers to Inuda Technology Ltd., a company registered in England and Wales under company number 06888787, with its registered office at The Skiff, 30 Cheapside, Brighton, UK, BN1 4GD.
"Service" refers to our websites, including cogrid.com, and the free tools we offer there, including the competitor homepage tracker and the research tools listed on our tools page.
"You" or "your" refers to the individual or organisation using the Service.
"Tool Output" refers to anything the Service generates, including company reports, screenshots, change timelines, rankings, comparisons, and other extracted data.
The Free Tools
Our tools are currently provided free of charge. Because they are free, they come with some honest caveats:
- We may change, limit, rate-limit, or discontinue any tool at any time, without notice.
- We may stop tracking any domain, or delete stored data, at any time.
- We aim for reliable access, but we do not guarantee uninterrupted availability and will not be liable for downtime or disruptions.
We may introduce paid products in the future. Those will have their own terms, and nothing in these Terms obliges you to pay anything.
The Service is intended for business use. You must be at least 18 years old to use it.
Email Subscriptions
Some tools let you subscribe by email, for example to be notified when a tracked homepage changes. Subscriptions use double opt-in: we only start emailing you after you confirm your address by clicking the link we send you.
By confirming a subscription, you agree to receive:
- Notification emails about the domains you track.
- Occasional updates about CoGrid itself, such as new tools or product news.
Every email we send includes an unsubscribe link. Unsubscribing stops both kinds of email. We will never sell your email address, and we do not send email on behalf of anyone else.
Data Sources and Accuracy
The Service gathers information from publicly available sources: public webpages, public rankings and directories, and similar. We use automated systems, including AI and third-party screenshot and data services, to collect and structure this information. The availability and accuracy of those third-party services are outside our control.
You acknowledge and agree that:
- Tool Output may contain inaccuracies or gaps, and may become outdated between monitoring cycles.
- We do not guarantee the completeness, accuracy, or timeliness of any Tool Output.
- Tool Output is provided for informational purposes only. It is not legal, financial, or strategic advice, and it is not a substitute for your own research and judgement.
- You are solely responsible for how you use Tool Output, including any decisions you make based on it.
Content About Other Companies
Our tools display information about third-party companies, based on those companies' own public webpages and other publicly available sources. Screenshots shown in the Service are captures of publicly accessible pages, presented for reference and comparison.
All trademarks, logos, and website content belong to their respective owners. The appearance of a company in our tools does not mean that company is affiliated with us, endorses us, or has any relationship with us whatsoever.
If we display information about your company and you believe something is inaccurate, or you would like it removed, contact us at support@cogrid.com. We will review every request promptly and in good faith.
Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service to collect, store, or distribute personal data about individuals in breach of applicable data protection laws.
- Use Tool Output to engage in unlawful activity, including but not limited to defamation, fraud, or unfair business practices.
- Misrepresent Tool Output as coming from or endorsed by the companies it describes.
- Use automated systems such as bots, scrapers, or scripts to access or interact with the Service, other than through APIs we provide for that purpose.
- Attempt to gain unauthorised access to any part of the Service or our systems.
- Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service.
- Resell, sublicense, or redistribute the Service or access to it, unless we have agreed to this in writing.
We may monitor usage to enforce these Terms and may restrict or block access at our discretion for violations.
Intellectual Property
Our Intellectual Property
We own all rights to the Service, including our software, branding, trademarks, and our methods for gathering and structuring competitive intelligence. You may not use our trademarks or branding without our prior written consent.
Your Use of Tool Output
Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable licence to use Tool Output for your internal business purposes. You may use Tool Output in your own materials, such as sales collateral, internal reports, or marketing pages, but you may not represent it as coming from or endorsed by any third party, including the companies described.
Feedback
If you provide us with suggestions, ideas, or other feedback about the Service, we may use it without restriction or obligation to you.
Data Protection
We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Please review our Privacy Policy at /privacy for full details on how we collect, use, store, and protect your personal data, including your rights as a data subject.
Limitation of Liability
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other matter where liability cannot be excluded or limited under applicable law.
Subject to the above, to the fullest extent permitted by law:
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, arising from your use of or inability to use the Service.
- Our total liability to you for all claims arising under or in connection with these Terms shall not exceed one hundred pounds sterling (GBP 100).
- The Service and all Tool Output are provided "as is" and "as available", without warranty of any kind, express or implied, including but not limited to fitness for a particular purpose, merchantability, or non-infringement.
Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your use of the Service, or your use of Tool Output.
Suspension and Termination
We may block or restrict your access to the Service, stop tracking any domain, or cancel any email subscription at any time, without prior notice, if you breach these Terms, if required by law, or at our reasonable discretion.
You can stop using the Service at any time. To end an email subscription, use the unsubscribe link in any email we send you, or contact us at support@cogrid.com.
Changes to These Terms
We may update these Terms from time to time. Any changes will be posted on this page, and the "Last updated" date will be revised accordingly. Where changes are material, we will make reasonable efforts to notify you, for example by email or a notice on our website. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
Miscellaneous
You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may assign these Terms to a third party or successor entity, including in connection with a merger, acquisition, or sale of assets.
If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force.
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us in relation to the Service.
Force Majeure
We will not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, strikes or industrial action, war or civil unrest, failure of telecommunications or internet infrastructure, power outages, acts of government or regulatory bodies, or the failure or withdrawal of third-party services on which the Service depends. We will use reasonable efforts to minimise the effect of any such event and to resume performance as soon as practicable.
Notices
We may send notices to you by email to the address you subscribed with, or by posting a notice on our website. Notices sent by email are deemed received 24 hours after sending. Notices posted on the website are deemed received on the date of publication. Any notices you send to us must be sent to support@cogrid.com or by post to The Skiff, 30 Cheapside, Brighton, UK, BN1 4GD.
Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
