"Competitor Data" refers to any company profiles, comparison grids, monitoring reports, or other competitive intelligence outputs generated through the Service.

User Account

To access certain features of the Service, you may need to create an account. You agree to:

You are responsible for all activity under your account, including activity by other users you have invited to your workspace. Each login is for a single named individual and may not be shared. If we find that login credentials have been shared, we may levy additional charges, suspend your access, or terminate your account at our discretion. We may suspend or terminate your account if any information you provide is inaccurate, false, or incomplete, or if you breach these Terms.

You must be at least 18 years old to use the Service. By creating an account or subscribing, you confirm that you are acting in the course of business and not as a consumer.

We use automated tools, including AI, to gather and structure information from publicly available sources. While we take reasonable steps to ensure accuracy, we do not guarantee that any Competitor Data is complete, current, or error-free. Competitor Data is provided for informational purposes only and should not be treated as legal, financial, or strategic advice without your own independent verification.

We aim to provide reliable and continuous access to the Service, but we do not guarantee uninterrupted availability and will not be liable for downtime or disruptions.

We may modify, suspend, or discontinue the Service (or any part of it) at any time. Where reasonably practicable, we will give you advance notice of material changes.

Third-Party Services and Data Sources

The Service relies on third-party services, APIs, and data sources to gather and process information. The availability, accuracy, and performance of these third-party services are outside our control. We do not warrant or accept liability for the availability or output of any third-party service. If a third-party service is withdrawn or changed in a way that materially affects the Service, we will use reasonable efforts to find an alternative, but we are not obliged to do so.

Free Company Report

We may offer a free, one-time company report that does not require an account. This report is subject to these Terms. We reserve the right to modify or withdraw this offering at any time.

Subscriptions, Payments, and Refunds

Subscriptions

Access to the full Service requires a paid subscription. Subscription plans, pricing, included features, and any usage limits are described on our pricing page. We may update pricing from time to time; changes will not apply to your current billing period.

Payments

Payments are processed securely via Stripe or other accepted payment providers. By subscribing, you authorise us to charge your selected payment method on a recurring basis in accordance with your chosen plan. You are responsible for keeping your payment details current.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that date. We do not provide pro-rated refunds for unused time within a billing period.

Refunds

We handle refund requests on a case-by-case basis at our sole discretion. If you believe you are entitled to a refund due to a technical fault or billing error, please contact us at support@cogrid.com.

The CoGrid Guarantee

If you discover a publicly visible change to a tracked competitor's product, pricing, or positioning before CoGrid does, you may submit a claim by sending us the relevant URL and a short description of what was missed. Approved claims are refunded at $10 per missed change, up to the total amount you paid in the current billing period. Full details of this guarantee are available on our website.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

Intellectual Property

Our Intellectual Property

We own all rights to the Service platform, including our software, branding, trademarks, and proprietary methods for gathering and structuring competitive intelligence. You may not use our trademarks or branding without our prior written consent.

Your Use of Competitor Data

Subject to your compliance with these Terms and an active subscription, we grant you a non-exclusive, non-transferable licence to use Competitor Data generated through your account for your internal business purposes. You may use Competitor Data in your own materials — such as sales collateral, internal reports, or marketing pages — but you may not represent it as coming from or endorsed by any third party, including the companies described.

Feedback

If you provide us with suggestions, ideas, or other feedback about the Service, we may use it without restriction or obligation to you.

Data Protection

We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Please review our Privacy Policy at /privacy for full details on how we collect, use, store, and protect your personal data, including your rights as a data subject.

Limitation of Liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other matter where liability cannot be excluded or limited under applicable law.

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your use of the Service, or your use of Competitor Data.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, if you breach these Terms or if required by law. We may also terminate your account with reasonable notice for any other reason.

Changes to These Terms

We may update these Terms from time to time. Any changes will be posted on this page, and the "Last Updated" date will be revised accordingly. Where changes are material, we will make reasonable efforts to notify you (for example, by email or a notice within the Service). Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

Miscellaneous

You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may assign these Terms to a third party or successor entity, including in connection with a merger, acquisition, or sale of assets.

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force.

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us in relation to the Service.

Force Majeure

We will not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, strikes or industrial action, war or civil unrest, failure of telecommunications or internet infrastructure, power outages, acts of government or regulatory bodies, or the failure or withdrawal of third-party services on which the Service depends. We will use reasonable efforts to minimise the effect of any such event and to resume performance as soon as practicable.

We may send notices to you by email to the address associated with your account, or by posting a notice within the Service or on our website. Notices sent by email are deemed received 24 hours after sending. Notices posted on the Service or website are deemed received on the date of publication. Any notices you send to us must be sent to support@cogrid.com or by post to The Skiff, 30 Cheapside, Brighton, UK, BN1 4GD.

Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
